§1. General provisions
The seller is FMT-Tarnów Sp. z o.o., 33-122 Wierzchosławice 42, tax ID 8733252397, REGON 123042291, KRS 0001214156 (the “Seller”).
The online shop operates at www.fmt-tarnow.pl under /sklep/ and /en/shop/ (the “Shop”).
These Terms apply to distance sales contracts concluded via the Shop. Some clauses apply only to Consumers (B2C), some only to Businesses (B2B) - we mark this in the text. Shared clauses apply to both.
Matters not covered here are governed by Polish law, in particular the Civil Code, the Consumer Rights Act and VAT rules.
§2. Definitions
- Consumer (B2C) - a natural person concluding a contract with the Seller for purposes not directly related to their trade, business or profession.
- Business (B2B) - a legal person, organisational unit or natural person conducting business who places an order in connection with that business.
- Buyer - a Consumer or Business placing an order in the Shop.
- Sole trader with consumer rights - a natural person running a sole proprietorship whose contract is not of a professional nature; where the Consumer Rights Act so provides, selected consumer rights apply (including withdrawal).
- Goods - a part, assembly or accessory offered in the Shop, together with description, SKU and price.
- Order - the Buyer’s statement submitted via the Shop cart and checkout, constituting an offer to conclude a sales contract.
§3. Shop and assortment
Information about Goods (descriptions, photos, dimensions, compatibility) is informative. The Buyer confirms suitability against the machine documentation and their own technical knowledge.
Stock and prices may change until the order is confirmed. If Goods are unavailable the Seller will propose a lead time, a substitute or cancellation of the line.
Minimum order quantity follows the Goods card (min. qty). The Seller may refuse an order that fails technical or legal requirements (e.g. export sanctions).
§4. B2C and B2B account
Purchases in the Shop are possible after creating an account or - where the Seller enables it - as a guest. On registration the Buyer chooses account type: individual (B2C) or company (B2B).
A B2C account is for natural persons buying privately. A B2B account requires company details (name, tax ID) and is intended for purchases related to business activity.
The Buyer is responsible for the accuracy of account and order data. A wrong account type or company data may prevent correct invoicing or applying 0% VAT (intra-EU supply).
At checkout a Business ticks purchase as a company (VAT invoice / intra-EU supply). A Consumer places an order without a company tax ID, unless they request a personal invoice as allowed by law.
§5. Order and contract formation
The sales contract is formed when the Seller confirms acceptance of the Order (email / order status) or when fulfilment begins - whichever comes first.
Before placing an Order the Buyer accepts these Terms and the privacy policy. Acceptance is recorded with the order.
B2B: the Buyer confirms they act as a business. A false declaration may lead to VAT correction and Buyer liability.
The Seller may offer a quote (RFQ) instead of immediate checkout - in that case the contract is formed after the Buyer accepts the quote and the Seller confirms.
§6. Prices and payment
Catalogue prices in the Shop are in PLN. Goods cards show the net price; the cart summary and checkout always show VAT and the gross amount payable.
B2C: domestic VAT is added at the applicable rate unless law provides otherwise. The Consumer pays the gross amount shown before placing the order.
B2B: VAT applies at the domestic rate, reverse charge, intra-EU supply (0% VAT) or extra-EU export - according to the Buyer’s data and delivery documentation.
Checkout paths: pay now (gateway or bank transfer) and - for eligible B2B buyers - an invoice with a payment term. Bank transfers use the order number as reference.
Invoices are issued electronically. From 1 April 2026 the Seller fulfils KSeF obligations for B2B invoices as required by law.
Delivery costs are shown before the Order is placed or marked as “quote” - in that case the Seller confirms the final cost before shipment.
§7. Delivery
Delivery is by courier, parcel locker / pickup point or freight - according to the method selected at checkout and available for the destination.
Dispatch timing depends on stock and payment. Indicative lead times on the Goods card are not binding unless agreed otherwise in writing (email).
B2C: risk of loss or damage passes to the Consumer when the Goods are delivered to the Consumer. If the Seller arranges delivery, the Seller bears risk until handover.
B2B: risk passes to the Business when Goods are handed to the carrier, unless mandatory law provides otherwise or Incoterms were agreed.
The Buyer should inspect the shipment on receipt and report damage to the carrier and the Seller without delay.
§8. Right of withdrawal (B2C)
A Consumer and a sole trader with consumer rights may withdraw from a distance contract within 14 days without giving a reason - subject to statutory exceptions.
The period runs from the day the Consumer (or a third party indicated by them other than the carrier) takes possession of the Goods. For multiple Goods - from taking possession of the last item.
The withdrawal notice should be sent to sprzedaz@fmt-tarnow.pl or in writing to the Seller’s address. Sending it before the 14 days expire is sufficient. Optional template: “I hereby withdraw from sales contract no. … dated …”.
After withdrawal the Consumer returns the Goods without delay, no later than 14 days. Return shipping is borne by the Consumer unless the Seller agreed to cover it or failed to inform about the return-cost obligation.
The Seller refunds payments (including delivery at the cheapest ordinary option offered) without delay, no later than 14 days from receiving the notice - and may withhold the refund until the Goods or proof of dispatch are received.
Exceptions (no withdrawal), where applicable: non-prefabricated Goods made to the Consumer’s specifications or clearly personalised; Goods liable to deteriorate rapidly; Goods delivered sealed that cannot be returned after opening for health or hygiene reasons.
The right of withdrawal does not apply to a B2B Business (other than a sole trader with consumer rights), unless the parties agree otherwise.
§9. Intra-EU supply and extra-EU export (B2B)
For intra-EU supplies the Business provides a valid VAT-EU number. The Seller may verify it in VIES. A missing/invalid number may result in domestic VAT being charged.
The Business cooperates in documenting transport (CMR, consignment notes, proof of receipt) required to apply 0% VAT.
For extra-EU export the parties may agree Incoterms, customs clearance, HS code and duty liability. The Buyer ensures compliance with sanctions and export restrictions applicable in PL/EU and the destination country.
§10. Complaints and liability
Quality / quantity complaints should be sent to sprzedaz@fmt-tarnow.pl or via the order panel, stating order number, SKU, defect description and - where possible - photos.
B2C: the Seller is liable to the Consumer for lack of conformity under the Consumer Rights Act (consumer warranty). The Consumer may request repair, replacement, price reduction or - where the Act so provides - withdraw from the contract.
B2C: the Seller handles the complaint within 14 days of receipt and informs the Consumer of its position. Failure to reply in time is treated - where the law so provides - as acceptance of the complaint.
B2B: statutory warranty may be limited. The Seller is liable for defects existing at handover. Liability for lost profits is excluded to the fullest extent permitted by law. Aggregate Seller liability shall not exceed the net value of the Goods complained of, subject to non-excludable liability.
B2C - amicable dispute resolution: the Consumer may seek help from a municipal / county consumer ombudsman, consumer organisations or the ODR platform: https: // ec.europa.eu/consumers/odr/. The Seller does not undertake in advance to participate before a specific ADR entity unless law requires otherwise.
§11. Personal data
Personal data of the Buyer (and of persons representing a Business) is processed to perform the contract, account, accounting and legal duties. Details: Privacy Policy.
Cookie rules: Cookie Policy.
§12. Final provisions
The Seller may amend these Terms. Orders placed before a change remain under the version applicable when the Order was placed. The current version is always available on this page.
B2C: disputes with Consumers are heard by the court competent under consumer venue rules. B2B: disputes are heard by the court competent for the Seller’s registered office, unless mandatory law provides otherwise.
If any clause is invalid, the remaining clauses stay in force. An invalid clause is replaced by the legal rule closest to its purpose.
